Latasia Infratech SIA — Legal Agreement

Welcome to Latasia Infratech SIA. By accessing this website or engaging with our services, you agree to comply with and be bound by the following Terms & Conditions.

These Supplier & Subcontractor Terms (“Terms”) govern all engagements between Latasia Infratech SIA (“Latasia Infratech”, “Company”, “we”, “our”, or “us”) and any supplier, subcontractor, consultant, service provider, vendor, or independent contractor (“Supplier”). By accepting a purchase order, contract, assignment, work order, or providing goods or services to Latasia Infratech, the Supplier agrees to comply with these Terms.

01 Compliance with Laws

The Supplier shall comply with all applicable laws, regulations, industry standards, and safety requirements of:

  • The Republic of Latvia.
  • The European Union
  • The country where services are performed
  • Relevant local authorities and regulatory bodies
  • The Supplier shall maintain all required licenses, registrations, certifications, permits, and approvals necessary to perform its obligations.

02 Quality Standards

The Supplier shall ensure that all goods, services, materials, workmanship, equipment, and deliverables:

  • Meet agreed specifications
  • Comply with industry standards
  • Are free from defects
  • Are suitable for their intended purpose
  • Comply with applicable regulations

Latasia Infratech reserves the right to reject any goods, services, or work that do not meet required standards.

03 Health, Safety & Environmental Compliance

The Supplier shall:

  • Maintain a safe working environment
  • Comply with occupational health and safety regulations
  • Ensure personnel are adequately trained
  • Provide appropriate personal protective equipment (PPE)
  • Follow all site-specific safety requirements
  • Comply with environmental regulations and best practices

The Supplier remains fully responsible for the safety and conduct of its personnel.

04 Personnel

The Supplier shall ensure that all personnel:

  • Are qualified and competent
  • Possess required certifications
  • Have legal authorization to work where applicable
  • Conduct themselves professionally at all times

Latasia Infratech reserves the right to request removal of any personnel whose conduct, performance, or qualifications are deemed unsuitable.

05 Confidentiality

The Supplier shall treat as confidential all information received from Latasia Infratech, including:

  • Project documentation
  • Technical information.
  • Commercial terms
  • Pricing information
  • Pricing information
  • Pricing information

Such information shall not be disclosed to any third party without prior written consent.

06 Intellectual Property

Any reports, drawings, designs, calculations, documents, plans, photographs, software, or work products created specifically for Latasia Infratech shall become the property of Latasia Infratech unless otherwise agreed in writing.

07 Subcontracting

The Supplier shall not assign, transfer, or subcontract any part of its obligations without prior written approval from Latasia Infratech.

Approval of a subcontractor does not relieve the Supplier of its responsibilities under these Terms

08 Delivery & Performance

The Supplier shall:

  • Meet agreed schedules and deadlines
  • Promptly notify Latasia Infratech of any delays
  • Take all reasonable steps to minimize disruptions
  • Maintain adequate resources to perform obligations

Failure to meet agreed timelines may result in corrective action, withholding of payments, or termination.

09 Invoicing & Payment

Unless otherwise agreed in writing:

  • Invoices must contain all required supporting documentation.
  • Invoices may only be submitted after completion of the agreed milestone or service.
  • Payments shall be subject to verification and approval
  • Latasia Infratech reserves the right to withhold payment for disputed, incomplete, defective, or non-compliant work.
  • No payment shall constitute acceptance of defective work.

10 Insurance

The Supplier shall maintain adequate insurance coverage appropriate to the nature of its services, including where applicable:

  • • Public liability insurance
  • • Employer’s liability insurance
  • • Professional indemnity insurance
  • • Workers’ compensation coverage

Evidence of insurance may be requested at any time.

11 Liability & Indemnification

The Supplier shall be fully responsible for:

  • Its personnel
  • Its equipment
  • Its materials
  • Its subcontractors
  • Its actions and omissions

The Supplier agrees to indemnify and hold harmless Latasia Infratech, its directors, officers, employees, clients, and affiliates from any claims, losses, damages, penalties, costs, or liabilities arising from:.

  • Negligence
  • Defective workmanship
  • Breach of contract
  • Regulatory violations
  • Injury to persons
  • Property damages
  • Intellectual property infringement
12 Non-Solicitation

LDuring the engagement and for a period of twelve (12) months following its termination, the Supplier shall not directly or indirectly:

  • Solicit Latasia Infratech employees
  • Recruit personnel introduced through Latasia Infratech
  • Circumvent Latasia Infratech to deal directly with clients introduced by the Company
  • without prior written consent.
13 Audit & Inspection Rights

Latasia Infratech reserves the right to:

  • Inspect works and services
  • Verify compliance
  • Review relevant records
  • Conduct audits where reasonably necessary

The Supplier shall provide reasonable cooperation during such inspections.

14 Suspension & Termination

Latasia Infratech may suspend or terminate any engagement immediately where:

  • Safety violations occur
  • Legal or regulatory breaches occur
  • Performance standards are not met
  • False information is provided
  • Confidentiality obligations are breached
  • Continued engagement poses operational or commercial risk
15 Force Majeure

Neither party shall be liable for delays caused by events beyond reasonable control, including:

  • Natural disasters
  • Government actions
  • Supply chain disruptions
  • Strikes
  • Pandemics
  • War or civil unrest
16 Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Latvia.

17 Dispute Resolution

The parties shall first attempt to resolve any dispute through good-faith negotiations. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of the Republic of Latvia.
